These Terms of Service govern your access to and use of AdsPlane websites, dashboards, APIs, software, workflows, reports, integrations, Telegram commands, billing flows, and related services.
2. Acceptance of these Terms
By accessing or using AdsPlane, creating an account, connecting an Amazon Ads account, configuring Telegram, uploading files, approving a Manifest, or subscribing to a paid plan, you agree to these Terms.
If you use AdsPlane on behalf of a business, you confirm that you are authorized to bind that business to these Terms.
If you do not agree to these Terms, do not use AdsPlane.
3. What AdsPlane provides
AdsPlane provides software tools for Amazon Ads operations, including:
- Runbooks;
- Amazon Ads report pulls;
- campaign analysis;
- Guardrail Policies;
- Manifests;
- recommendation previews;
- approval workflows;
- Telegram commands and alerts;
- execution support;
- reconciliation;
- QC reports;
- audit and operational records;
- AI-assisted narration or summaries where enabled.
AdsPlane is software. It is not an advertising agency, broker, media buyer, financial adviser, legal adviser, or Amazon account manager.
4. Eligibility and authority
You may use AdsPlane only if:
- you are at least 18 years old;
- you are using AdsPlane for lawful business purposes;
- you have authority to access, connect, and operate the relevant Amazon Ads account;
- you have authority to provide billing, business, and team information;
- you comply with Amazon policies, marketplace rules, advertising laws, data protection laws, and all applicable regulations.
5. Your responsibilities
You are responsible for:
- your Amazon account;
- your advertising campaigns;
- your budgets, bids, targets, keywords, placements, and campaign structure;
- your uploaded data and configuration choices;
- your Guardrail Policy settings;
- your campaign allowlists;
- your approval or rejection of Manifest actions;
- your team member access;
- maintaining secure passwords and devices;
- reviewing AdsPlane outputs before acting on them;
- complying with Amazon’s policies and applicable law.
You must not use AdsPlane to violate Amazon policy, manipulate marketplaces unlawfully, run deceptive advertising, misuse API access, infringe third-party rights, or process personal data unlawfully.
6. Amazon Ads connection and credentials
AdsPlane connects to Amazon Ads through approved authorization flows. You must not share your Amazon account password with AdsPlane.
By connecting an Amazon Ads account, you authorize AdsPlane to use approved API access to provide the service, including report pulls, analysis, Manifests, approval workflows, execution support, reconciliation, and related reporting.
You are responsible for granting, reviewing, and revoking Amazon Ads access. You may disconnect AdsPlane access through Amazon or through AdsPlane-supported controls where available.
AdsPlane may stop or limit Amazon Ads workflows if authorization fails, tokens expire, Amazon APIs change, Amazon imposes restrictions, or safety checks indicate risk.
7. Guardrails, approvals, and execution
AdsPlane is built around seller control, Guardrail Policies, and approval-gated execution.
Where approval-gated execution is enabled, you are responsible for reviewing the Manifest and approving or rejecting proposed actions.
Where a higher autonomy stage is enabled, AdsPlane may execute actions within the configured Guardrail Policy and autonomy settings. You remain responsible for configuring these settings carefully and monitoring results.
AdsPlane may block, pause, reject, or skip actions where:
- Guardrail Policies are not satisfied;
- data confidence is insufficient;
- dry-run checks fail;
- reconciliation detects drift;
- API errors occur;
- budget or spend safety checks trigger;
- AdsPlane detects a security, compliance, or account risk.
No automation system is risk-free. Do not enable autonomy settings unless you understand the operational risk.
8. No guaranteed advertising outcomes
AdsPlane does not guarantee:
- sales growth;
- profitability;
- ranking improvement;
- ACOS reduction;
- ROAS improvement;
- lower spend;
- campaign approval;
- Amazon account health;
- marketplace performance;
- keyword ranking;
- Buy Box performance;
- uninterrupted access to Amazon APIs.
Advertising performance depends on many factors outside AdsPlane’s control, including product quality, price, reviews, inventory, competition, demand, Amazon policies, marketplace dynamics, seasonality, catalog health, and seller execution.
9. Plans, trials, billing, and taxes
Paid plans, free trials, pricing, renewals, invoices, taxes, payment methods, cancellation, and refunds are governed by the plan, invoice, checkout page, or billing terms shown at signup or in your account.
AdsPlane may use Razorpay or other payment processors to process payments. Payment processor terms may also apply.
Unless stated otherwise:
- subscription fees are billed in advance;
- taxes may be added where applicable;
- trial access may be limited or ended if abuse is detected;
- cancellation stops future renewals but does not automatically refund past charges;
- AdsPlane may suspend access for unpaid invoices, payment failure, abuse, security risk, or violation of these Terms.
Add a separate Refund and Cancellation Policy page if you want more precise commercial handling. Until then, keep the checkout page conservative and clear.
10. Customer data
You retain ownership of your business data, uploaded files, Amazon Ads data, and advertising account data.
You grant AdsPlane the limited permission needed to host, process, analyse, transmit, display, secure, back up, and use that data for providing AdsPlane, complying with law, protecting the service, and fulfilling support or audit needs.
You confirm that you have the right to provide or connect this data to AdsPlane.
11. Privacy and data protection
AdsPlane’s processing of personal data is described in the AdsPlane Privacy Policy and Data Use Notice.
By using AdsPlane, you agree that AdsPlane may process account, business, billing, Amazon Ads, uploaded file, Telegram, approval, execution, reconciliation, log, and support data as described in the Privacy Policy.
If you invite team members or upload data relating to others, you are responsible for ensuring that you have the required authority, consent, or legal basis.
12. AI features
AdsPlane may include AI-assisted narration, summaries, report wording, or support features.
AI features are provided for explanation and productivity. They do not replace your judgment. AdsPlane’s core advertising actions remain controlled through deterministic logic, Guardrail Policies, approval workflows, and configured autonomy settings.
You must review AI-generated summaries before relying on them for business decisions.
13. Acceptable use restrictions
You must not:
- reverse engineer, copy, resell, sublicense, or misuse AdsPlane except as permitted by law or written agreement;
- bypass access controls, rate limits, plan limits, guardrails, or security controls;
- attempt to access another customer’s data;
- upload malware, harmful code, or unlawful content;
- use AdsPlane to violate Amazon policies or applicable advertising laws;
- misrepresent your authority over an Amazon Ads account;
- overload, scrape, attack, probe, or disrupt AdsPlane systems;
- use AdsPlane outputs to build a directly competing service without written permission;
- submit unrelated sensitive personal data unless required and lawful;
- use AdsPlane for unlawful, fraudulent, abusive, or deceptive activity.
14. Service availability and changes
AdsPlane aims to provide a reliable service, but availability is not guaranteed.
Service interruptions may occur due to maintenance, deployments, hosting issues, Amazon API changes, third-party outages, payment processor issues, internet failures, security events, force majeure events, or other causes outside AdsPlane’s control.
AdsPlane may add, change, suspend, or remove features, plans, integrations, limits, or workflows as the product evolves, subject to reasonable notice where commercially practical.
15. Third-party services
AdsPlane may depend on third-party services, including Amazon Ads, Razorpay, Supabase, hosting providers, email providers, Telegram, analytics, error monitoring, security tools, and AI service providers.
AdsPlane is not responsible for third-party service outages, API changes, pricing changes, policy changes, account restrictions, or errors outside AdsPlane’s reasonable control.
Your use of third-party services may be governed by their own terms and policies.
16. Intellectual property
AdsPlane, including its software, workflows, product vocabulary, interface, documentation, templates, logic, reports, design, brand assets, and related materials, is owned by Infinite Path Ventures or its licensors.
You receive a limited, non-exclusive, non-transferable right to use AdsPlane according to your plan and these Terms.
You may use reports and outputs generated for your own Amazon Ads account for your internal business purposes.
17. Confidentiality
Each party may receive non-public business, technical, operational, or account information from the other party.
Both parties must protect confidential information using reasonable care and use it only for the purpose of using or providing AdsPlane.
This does not restrict disclosure required by law, regulation, court order, Amazon policy, or government authority.
18. Suspension and termination
AdsPlane may suspend or terminate your account or access if:
- you breach these Terms;
- payment fails or invoices remain unpaid;
- your use creates security, legal, operational, or platform risk;
- Amazon authorization is invalid, revoked, or restricted;
- you misuse API access or AdsPlane systems;
- required by law, Amazon policy, or a government authority.
You may stop using AdsPlane and request cancellation or deletion according to the billing and privacy processes.
After termination, AdsPlane may retain certain records as required for legal, tax, billing, security, fraud prevention, dispute, audit, or compliance purposes.
19. Disclaimers
AdsPlane is provided on an “as is” and “as available” basis to the maximum extent permitted by law.
AdsPlane does not warrant that the service will be uninterrupted, error-free, always accurate, always current, or suitable for every advertising account.
You are responsible for independent business judgment before making advertising decisions.
20. Limitation of liability
To the maximum extent permitted by law, Infinite Path Ventures will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, lost revenue, lost sales, advertising losses, loss of goodwill, loss of data, Amazon account restrictions, or marketplace performance losses.
To the maximum extent permitted by law, AdsPlane’s total liability for claims relating to the service will be limited to the fees paid by you to AdsPlane for the affected service during the three months immediately before the event giving rise to the claim.
Nothing in these Terms limits liability where such limitation is not permitted by applicable law.
21. Indemnity
You agree to indemnify and hold Infinite Path Ventures harmless from claims, losses, damages, penalties, costs, and expenses arising from:
- your misuse of AdsPlane;
- your breach of these Terms;
- your violation of Amazon policies or applicable law;
- your advertising content, products, listings, or campaigns;
- your lack of authority to connect or operate an Amazon Ads account;
- data or files uploaded by you;
- instructions, approvals, or configurations provided by you.
22. Governing law and disputes
These Terms are governed by the laws of India.
The parties will first try to resolve disputes informally through good-faith discussion.
Subject to any mandatory legal requirement, courts at Mumbai, Maharashtra, India will have jurisdiction over disputes arising from or relating to these Terms or the AdsPlane service.
23. Changes to these Terms
AdsPlane may update these Terms as the product, law, commercial model, or service changes.
The updated Terms will be published on this page with a revised effective date. Continued use of AdsPlane after updated Terms are published means you accept the updated Terms.
